Parties to the Agreement: These Terms of Use ("Terms") create a legally binding agreement between Sharon Networks, LLC, including its affiliates ("Sharon Networks," "we," "us") and you, the user ("Customer," "you," or "User").

Scope of Terms: These Terms govern your use of the services provided through our platforms and websites, including the main site located at sharon.io, all associated online properties linked by Sharon Networks, LLC, and any affiliated companies. These services extend to any software we provide for download or use on mobile devices, collectively referred to as our "App(s)."

Definition of Services: The "Site" encompasses all virtual properties, software, and mobile applications. The "Services" include the Site, along with all text, data, information, software, graphics, proprietary content, and other materials ("Materials") provided on or through the Site.

Modification of Terms: We reserve the right to modify these Terms at any time. Changes will be communicated to customers via the email address provided at registration.

1. Use of Services

Eligibility: You may use our services if you meet the legal age requirement to form a binding contract and are not barred under the laws of the United States or your jurisdiction from using the services.

Account Registration: You must provide accurate, current, and complete information during the registration process. You are responsible for keeping this information up-to-date.

Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breaches.

Liability for Account Misuse: We are not liable for any loss or damage arising from your failure to comply with these requirements or from your failure to keep your account secure.

2. Acceptable Conduct

Responsibility for Account Use: You are responsible for all activities conducted through your account, including the actions of any users accessing your account and the creation, storage, and transmission of data via your account.

Prohibited Activities: You must not engage in any activities that interfere with or disrupt the operation of our services or the networks connected to our services.

3. Prohibited Usage

Engaging in any of the following activities is strictly prohibited and may lead to immediate account suspension or termination without a refund. Additionally, we may impose fees or pursue civil remedies without prior notice.

Resource Abuse:

  • Intentionally overusing resources, such as excessive consumption of network bandwidth, CPU time, or disk IO, is not allowed.

Botting:

  • The use of bots, especially for TikTok or similar platforms, is strictly prohibited. Violations will result in immediate account termination without refund.

Spam and Unsolicited Bulk Email (UBE):

  • We enforce a zero-tolerance policy on spam. Customers are responsible for all outbound traffic from their assigned IP space. Failure to address complaints about spam within 24 hours may lead to service suspension.

Illegal Activities:

  • Unauthorized access to other computers, networks, devices, or accounts, as well as the transmission, distribution, or storage of illegal material, are strictly forbidden.

Proxies and VPNs:

  • The use of Tor, open proxies, and anonymous proxy services is prohibited due to associated risks and potential illegal activities.

Other Harmful Activities:

  • Conduct that may harm our operations, properties, or other customers, including submitting false information on contracts or applications, is prohibited.

4. Invoicing and Payment

Billing Authorization:

  • You authorize us to charge your credit card on a regular basis, either monthly, annually, or as otherwise agreed upon, in advance of providing services.

Payment Due:

  • Payment is due at the time of invoicing. Accounts that are 3 days past due may experience service interruptions.

Collections:

  • Accounts with outstanding unpaid balances may be referred to an external collection agency.

Price Adjustments:

  • We reserve the right to modify service prices and fees at any time. Changes may occur in response to financial market fluctuations that impact exchange rates.

Late Fees:

  • Late fees may be applied to overdue invoices, and the amount of these fees is subject to change.

5. Refund Policy

24-Hour Money-Back Guarantee:

  • We provide a 24-hour money-back guarantee on all products, unless specified otherwise. If you're not satisfied, you can request a refund within this period.

Exclusions to Money-Back Guarantee:

  • Fraudulent Activity: No refunds will be issued if there is evidence of fraud.

  • Service Abuse: Attempts to misuse the service will disqualify you from receiving a refund.

  • DDoS Attacks: Refunds will not be provided if your service is targeted by DDoS attacks.

  • Excessive Use: Using more than 10 GB of traffic on a VM within the 24-hour period makes you ineligible for a refund.

  • IP Address Issues: No refunds will be issued if the assigned IP address does not function properly in regions where RIPE Atlas has fewer than 3 active anchors.

Refund Processing:

  • Refunds will be issued to the original form of payment used at purchase.

Account Status Post-Refund:

  • After a refund is processed, the account remains active for future orders but will not be eligible for additional refunds.

6. Customer Support and Liability Boundaries

Service Responsibility:

  • We are committed to maintaining the operation and integrity of our hardware and systems. However, our responsibilities do not extend to programming, system administration, or managing individual customer systems.

Managed Services:

  • For customers requiring additional support such as system administration or custom programming, please contact our staff to obtain quotes for managed services.

Data Backup and Loss:

  • We do not perform data backups for customer accounts and are not liable for any data loss. While we strive to monitor and maintain hardware efficiency, preventing all hardware failures and data loss is not feasible. We strongly recommend that customers regularly back up their data to safeguard against potential loss.

Support Limitations:

  • Our customer support does not extend to the clients of our customers. Support is provided directly to our contracted customers only.

7. Disclosure to Law Enforcement

Prohibition of Illegal Use:

  • Our services must not be used for any illegal activities. By agreeing to these Terms of Service, customers are committed to lawful use only.

Disclosure of Information:

  • We will comply with all valid court orders requiring the disclosure of customer information. This includes assigned IP addresses, account history, and usage details. Compliance will occur without requiring additional consent or notification to the customer.

Termination Rights:

  • We reserve the right to terminate any services provided under this agreement if they are used in connection with illegal activities.

8. Warranty Disclaimer

Risk Acknowledgment:

  • You acknowledge that your use of our services is at your own risk.

"As Is" Provision:

  • The services provided by Sharon Networks, LLC are offered "as is" and without any warranty whatsoever. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnity

Customer Obligations:

  • By using our services, you agree to indemnify and hold Sharon Networks, LLC, its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Terms of Service, your improper use of Sharon Networks' services, or your breach of any law or the rights of a third party.

10. Entire Agreement

Scope of Agreement:

  • These Terms of Service, along with any additional policies, guidelines, or amendments that may be presented by Sharon Networks, LLC, represent the complete and exclusive agreement between you (the user) and us regarding our services.

Supersession:

  • This agreement supersedes any prior understandings or agreements, written or oral, regarding the subject matter hereof.
